Terms of Service

These Terms of Service (“Terms”) govern your access to and use of HILYT (“HILYT,” “we,” “us,” or “our”), including the website at hilyt.meand the HILYT mobile application (collectively, the “Service”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

• You must be at least 13 years old to use the Service.
• If you are between 13 and 17, you must have permission from a parent or legal guardian, and that adult must complete the parental consent step in your account before you upload any content. By using the Service as a minor, you and your parent or guardian agree that the adult is bound by these Terms on your behalf.
• You must provide accurate information about yourself, including your name, school, and graduation year. Impersonating another person is prohibited.
• If you sign up as a coach, you represent that you actually coach at the school you list and you authorize HILYT to verify that.

2. Your Account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@hilyt.me if you suspect unauthorized use.

3. Your Content

“Your Content” means everything you upload, post, or submit through the Service, including videos, thumbnails, titles, tags, comments, profile information, and feedback.

You keep ownership of Your Content. You grant HILYT a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, transcode, reproduce, modify (for technical purposes such as resizing and re-encoding), publicly display, publicly perform, and distribute Your Content for the purpose of operating, promoting, and improving the Service. This license ends when you delete the content from the Service, except to the extent the content has been shared with others who have not deleted it, or where we need to retain it to comply with legal obligations.

You represent and warrant that:

• You own Your Content or have all rights necessary to grant the license above.
• Your Content does not violate the rights of any third party, including privacy, publicity, copyright, trademark, or contract rights.
• You have the right to share any footage you upload, including footage filmed by parents, schools, recruiting services, or third-party videographers.
• For minors appearing in Your Content (including yourself if you are a minor), you have obtained the necessary consent from the minor’s parent or guardian.

4. NIL and Public Visibility

HILYT is a public platform. Profiles, videos, votes, and comments are visible to other users and may be indexed by search engines. By uploading highlights, you acknowledge that your name, image, likeness, school, and athletic performance will be shown publicly. You are responsible for understanding and complying with any name, image, and likeness (NIL) rules that apply to you, including rules from your state, your school, your school district, and any state high-school athletic association you compete under. HILYT does not provide NIL advice and is not responsible for any consequences arising from your participation.

5. Acceptable Use

You agree not to:

• Post content that is illegal, sexually explicit, violent, hateful, harassing, threatening, defamatory, or that exploits or endangers minors.
• Post content that infringes anyone’s intellectual property, privacy, or publicity rights.
• Impersonate any person or entity, or misrepresent your affiliation with a school or team.
• Post spam, scams, fake votes, fake comments, or automated traffic.
• Try to access another user’s account, scrape the Service at scale, reverse engineer it, or interfere with its operation.
• Use the Service to recruit in violation of applicable rules or laws.
• Upload viruses or other harmful code.

We may remove content and suspend or terminate accounts that violate these Terms, at our sole discretion.

6. Reporting and Moderation

If you see content that violates these Terms, use the in-app report (flag) button or email support@hilyt.me. We aim to review reports within 24 hours and will remove content or take other action as we determine appropriate.

7. DMCA / Copyright

If you believe content on the Service infringes your copyright, send a notice to support@hilyt.me with: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) the URL of the allegedly infringing content; (d) your contact information; (e) a statement that you have a good-faith belief that the use is unauthorized; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act. We will respond to valid notices and may remove content and terminate repeat infringers.

8. Termination

You may delete your account at any time. We may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including ownership, license, disclaimers, indemnity, and limitation of liability) will survive.

9. Disclaimers

The Service is provided “as is” and “as available” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. HILYT does not guarantee that the Service will be uninterrupted, secure, or error-free, that any content will be accurate, or that any player will be recruited or receive any opportunity as a result of using the Service.

10. Limitation of Liability

To the maximum extent permitted by law, HILYT and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or recruiting opportunities, arising out of or in connection with your use of the Service. Our total liability for any claim arising out of these Terms or your use of the Service will not exceed one hundred US dollars (US$100).

11. Indemnification

You agree to defend, indemnify, and hold harmless HILYT from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in Orange County, California, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
